1. Scope and Contracting Party

1.3 A consumer is any natural person who concludes a legal transaction for purposes that predominantly are outside their trade, business, or profession (§13 BGB). A business customer (entrepreneur) is a natural or legal person or legal partnership acting in the exercise of commercial or self-employed activity (§14 BGB).
2. Contract Formation
2.1 The product listings in our online shop are non-binding invitations to place an order, not legally binding offers.
2.2 By clicking the “Place Order” button, you submit a binding offer to purchase the products in your shopping cart. The contract is concluded either when we confirm your order via email or by dispatching the goods.
3. Prices and Shipping Costs
3.1 All prices are net prices excluding applicable VAT. Shipping costs are shown separately during checkout.
3.2 Shipping charges vary depending on delivery location and will be displayed before the order is finalized. or may be informed via Email before shipment if it changed because of distance outside Germany.
3.3 Important Notice for Buyers Outside Germany: For buyers outside Germany and inside European Union, the shipping costs may also vary from the flat rate shown, depending on the delivery address.
Any changes in shipping costs from the default prices displayed on the checkout page will be communicated to you via email after you place your order. We will proceed with the order only after receiving your confirmation by email.
3.4 Important Notice for Buyers Outside European Union Countries: we will not charge you with VAT in your Bill , but you will pay VAT via our Freight Forwarder Company, the transport cost and VAT and possible Custom clearance tariff will be billed to you separately as final Bill after we receive your order. we will inform the total cost of transportation as DDP up to your address and after your confirmation we we will proceed with your order. please choose Direct Bank Transfer as a payment method to avoid credit cards charges in case you cancel the order. in Direct bank Transfer you will get our bank account information via email and after getting the final Bill includes Transportation cost you can decide to transfer the amount. other wise credit cards will charge us as seller the prepayments and if you change your mind we will not refund that 3% credit card charges .
4. Delivery and Availability
4.1 Delivery will be made to the address provided during checkout, unless otherwise agreed.
4.2 If a product is unavailable due to supplier delays beyond our control, we will inform you immediately and refund any prepayments without delay.
4.3 Delivery Terms:
The product itself weighs 80 kg, and with its packaging (164 x 85 x 45 cm), the total weight is 134 kg.Our delivery partner is responsible for delivering the package to the main entrance of your building, not upstairs or not in front of your apartment Door if its inside a building or not inside your apartment.
Please Note:
- Rollers or similar equipment are recommended to move the box inside.
- Two persons are required to safely transport the package.
- After delivery to the main building entrance, our delivery partner or driver bears no further responsibility for moving the package inside or any other place.
We kindly ask you to be prepared to receive the product.
If necessary, you may open the box and remove smaller parts or assemble the feet in order to move it easily.The desk is equipped with wheels for easier transport after assembly.
Complaints regarding the product dimensions or weight will not be accepted, as these specifications are clearly stated and displayed on our website and here in Terms and Conditions.
5. Payment Terms
5.1 Payment is due immediately upon conclusion of the contract using one of the payment methods offered during checkout.
5.2 For advance bank transfers, our account details will be provided in your order confirmation. Payment must be received within 10 days of confirmation.
Please Note: Credit Cards charging us 3% of total amount for each order and if you place order and cancel it that amount is not refundable .we suggest use Direct Bank transfers option to avoid that 3% loss.
6. Retention of Title
The goods remain our property until full payment has been received.
7. Right of Withdrawal and Return Conditions
7.1 Consumers have the legal right to withdraw from the contract within 14 days of receiving the goods.

7.3 The Sending and Return shipping costs are borne by the customer unless the goods are defective or misdelivered. Refunds will be issued after inspection of the returned goods and will exclude the original shipping fees + 3% Credit Cards fees if you used Credit cards to pay (you can use Direct Bank Transfer payment Option to avoid that 3% cost).
7.4 We reserve the right to deduct compensation for any damage or loss in value due to improper packaging or handling during the return. so if you don’t like the product please do not remove the protection foils and do not damage or throw the wooden box and protection foams inside, you will need them for returning the product.
7.5 Our products are shipped in custom wooden crates, which must be used for returns. Missing or damaged packaging may incur a deduction or packaging replacement fee.
7.6 The B2B Bulk Ordered customers Return Policy depends on Our Sale contract and not respect this 14 Days policy. only small orders under 3 pcs respect this policy.
7.6 The standard delivery time is 7 working days within Germany and 20 working days for deliveries outside Germany within Europe. this time will be counted after we receiving the full payments in our bank account.
Delivery times may vary in the event of exceptional circumstances such as traffic disruptions or operational issues on the part of our logistics partners. In such cases, any delays will be promptly communicated to you, including updated tracking information provided by the delivery partner.
If the delivery is delayed by more than 7 additional working days beyond the standard delivery period and we are unable to fulfill the order, you are entitled to a full refund of the purchase price. We will coordinate with you regarding the further procedure, and any measures will only be taken after receiving your confirmation.
Your statutory rights as a consumer, particularly regarding defects, non-performance, and withdrawal from the contract, remain unaffected.Furthermore, the entire shipping process is insured against loss or damage until the goods are handed over to you.
7.7 Backorders and Delivery Coordination
If the product you order is on backorder and not immediately available in our warehouse, we will coordinate the expected delivery date with you prior to accepting your order.
Should you not agree to the proposed delivery time, the order will not be processed.
For backorders, we kindly ask you to select direct bank transfer (Vorkasse) as the payment method.
This ensures that no payment will be charged before you have confirmed the proposed delivery time.
8. Limitation of Liability
8.1 Website Use Disclaimer
We are not liable for damages resulting from the use or unavailability of our website unless caused by gross negligence or intent. Users are responsible for maintaining up-to-date security protections.
8.2 Cybersecurity Risks
We accept no liability for damages caused by cyber attacks (hacking, phishing, etc.) unless these result from gross negligence or intent. Indirect damages or loss of profit are excluded to the extent permitted by law.
8.3 Statutory Liability
This limitation of liability does not apply in cases of strict statutory liability, such as under the Product Liability Act or when warranties have been expressly given.

10.2 We are neither obliged nor willing to participate in consumer arbitration proceedings before a consumer arbitration board under the VSBG.

12. Applicable Law and Jurisdiction
12.1 German law shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
12.2 For commercial customers and public institutions, the place of jurisdiction is our business location: Germering, Germany. that is FürstenfeldBrück Amtsgericht .
13. Severability Clause
Should any clause in these Terms and Conditions be or become invalid, the remaining provisions shall remain in effect. The invalid provision shall be replaced by the relevant statutory provision.
14. Design Protection and Legal Enforcement
The FlexiSmart desk is protected by registered design rights with:
- The German Patent and Trademark Office (DPMA)
- The European Union Intellectual Property Office (EUIPO)
- The Chinese Patent Office CNIPA
Any form of imitation, reproduction, or infringement constitutes a violation of our intellectual property rights and will be subject to legal enforcement, including:
Germany:
Under §§ 38–42 of the German Design Act (DesignG), we may pursue claims for damages, injunctions, and destruction of infringing products. Criminal penalties may also apply under § 51 DesignG.
European Union:
Under Regulation (EC) No. 6/2002, we may pursue both civil and criminal remedies, including injunctions and compensation.
China:
Under Articles 11, 60, and 70 of the Chinese Patent Law, infringement may result in significant financial penalties and criminal consequences.
We will actively pursue all legal remedies in Germany, the EU, and internationally to enforce our rights against any form of design infringement.
